Terms of Service

1. Acceptance

By creating an account, joining a workspace, or using any part of the CliqCase platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a firm or organisation, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use CliqCase.

These Terms form a legally binding agreement between you (or your firm) and Minzzle Technologies Pvt. Ltd., a company incorporated under the Companies Act 2013, India ("Company", "we", "us").

2. The service

CliqCase is a legal case management platform that provides matter management, eCourts cause-list synchronisation, document storage, team collaboration, AI-assisted legal workflows, client portal access, and related features for Indian advocates and law chambers.

We may modify, add, or remove features at any time. For material changes that affect existing workflows, we will provide reasonable notice to active subscribers.

We do not guarantee uninterrupted access to the Service and may perform scheduled maintenance with reasonable advance notice.

3. Accounts and workspaces

Each subscribing firm or individual creates a workspace ("Firm"). An Advocate Admin may add team members (Advocates, Clerks) and clients to the workspace.

You are responsible for maintaining the security of your credentials. You must not share your login credentials with anyone who is not an authorised member of your workspace.

You are responsible for all activity that occurs under your account or within your firm's workspace.

You must provide accurate information when registering and keep it current.

4. Acceptable use

You agree to use CliqCase only for lawful purposes and in a manner consistent with these Terms and applicable Indian law, including the Information Technology Act 2000 and rules thereunder.

You must not:

• Use the Service to store or transmit content that is unlawful, defamatory, or infringes third-party rights.
• Attempt to gain unauthorised access to any other workspace, account, or system.
• Use automated tools to scrape, extract, or systematically access the Service without written permission.
• Reverse engineer, decompile, or attempt to extract the source code of CliqCase.
• Resell, sublicense, or commercially exploit access to the Service without our written consent.
• Use AI features to generate content that misrepresents legal advice as coming from a licensed professional without appropriate disclosure.

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. Your data

You own your data. Case files, documents, client records, and matter information that you upload or create in CliqCase remain yours. We do not claim any ownership over your data.

You grant us a limited, non-exclusive licence to store, process, and transmit your data solely to provide and operate the Service, as described in our Privacy Policy.

You are responsible for the lawfulness of data you upload, including ensuring you have the right to store client data in a third-party system consistent with your professional obligations under the Bar Council of India Rules and applicable bar rules.

On termination of your account, you may export your data within the applicable grace period. After the grace period, we will permanently delete your data.

6. Subscription and billing

CliqCase is offered on a subscription basis. Subscription fees, plan limits, and billing cycles are as described on our pricing page or in a written order form.

All prices are exclusive of GST unless expressly stated otherwise. Applicable GST will be charged in addition to the listed price.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the then-current billing period. We do not offer refunds for unused time within a billing period unless required by law.

We may change subscription prices with 30 days' prior notice to active subscribers. Continued use after the notice period constitutes acceptance of the new pricing.

We reserve the right to suspend access to the Service if subscription fees are not paid within 14 days of the due date.

7. Intellectual property

CliqCase, its source code, design, trademarks, and all content produced by us (excluding your data) are the exclusive property of Minzzle Technologies Pvt. Ltd. and are protected by Indian intellectual property law.

These Terms do not grant you any right to use our name, logo, or trademarks without prior written consent.

If you provide feedback or suggestions about the Service, we may use that feedback freely without compensation or attribution to you.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only to fulfil obligations under these Terms.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.

9. Limitation of liability

To the maximum extent permitted by applicable Indian law:

• The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
• We are not liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Service.
• Our total liability to you for any claim arising under or related to these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under Indian law.

CliqCase is a practice management tool, not a source of legal advice. AI-generated outputs are for reference and preparation only. Advocates remain solely responsible for the accuracy and legality of any work product submitted to courts or clients.

10. Indemnity

You agree to indemnify and hold harmless Minzzle Technologies Pvt. Ltd. and its directors, employees, and agents from any claims, losses, damages, or costs (including reasonable legal fees) arising from your use of the Service in violation of these Terms, applicable law, or third-party rights.

11. Termination

You may stop using the Service and close your account at any time.

We may suspend or terminate your access immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. We will provide notice where reasonably possible.

On termination, your right to access the Service ceases immediately. Sections covering intellectual property, limitation of liability, indemnity, and disputes survive termination.

12. Disputes and governing law

These Terms are governed by and construed in accordance with the laws of India.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days.

If the dispute is not resolved through negotiation, it shall be submitted to arbitration under the Arbitration and Conciliation Act 1996 (as amended). The seat of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.

Courts in Bengaluru, Karnataka shall have exclusive jurisdiction for matters that cannot be referred to arbitration.

13. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Minzzle Technologies Pvt. Ltd. regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

No waiver. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Updates. We may update these Terms from time to time. We will notify active users by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance.
